### **Main Provisions:**
#### 1. **Scope of Cooperation**
- The collaboration focuses on advancing technological applications and commercial exploration in the文娱旅体商 (recreation, tourism, cultural, and entertainment) sector.
- A joint venture company will be established to facilitate research, development, and commercialization of cutting-edge intelligent technologies tailored to the aforementioned industries.
#### 2. **Rights and Obligations**
- Both Parties agree to share resources, expertise, and knowledge to achieve mutual benefits.
- Company A commits to providing a minimum of RMB 15 million in initial procurement orders for research and development within one quarter of the joint venture's establishment.
- Any transfer of rights or obligations under this Agreement requires prior written consent from both Parties.
#### 3. **Term and Termination**
- This Agreement remains valid for one year or until the joint venture is established, whichever occurs first.
- Either Party may terminate the agreement if the other Party breaches its terms, subject to prior notice and opportunity for rectification.
#### 4. **Governing Law and Dispute Resolution**

- Any disputes arising from or related to this Agreement shall first be resolved through friendly negotiations. If unresolved, they shall be submitted to arbitration in Shanghai under the rules of the Shanghai Arbitration Commission.

- Any breach of confidentiality may result in termination of this Agreement.
